“VN Technologies, Lda” (hereinafter, “VN Tech”) is a private legal entity, headquartered at Avenida Dr. Antunes Guimarães, no. 1140, 2nd floor, 4100-077 Porto, Portugal, and holder of the Corporate Taxpayer Identification Number (NIPC) 515 482 137.

VN Tech analyses information disclosed by its clients for business purposes, within the context of negotiation and business analytics.

Access to, and use of VN Tech’s products, services, website and platform, including any of its content, is conditional on the client’s agreement to these Terms and Conditions. By creating an account, or by using or visiting VN Tech’s website and platform, the client is bound to these Terms and Conditions and indicates his/her continued acceptance of them. If the client does not accept VN Tech’s Terms and Conditions, then he/she may not access the company’s services.

1. VN Tech’s Confidentiality Obligations

VN Tech:

  1. Holds and causes its representatives to hold confidential information in strict confidence;

  2. Does not to disclose, and causes its representatives not to disclose, any confidential information to any third party except:

    1. As specifically authorized herein or as specifically authorized by its client in writing; and 

    2. To its attorneys, auditors and consultants as necessary for their provision of professional services to VN Tech and as long as such services are being provided under an obligation of confidentiality; and

  3. Does not use, and causes its representatives not to use, any confidential information for any purpose other than the business purpose (negotiation and business analytics).

2. Exclusions from Confidentiality Obligations

VN Tech shall have no obligation to its clients under these Terms and Conditions with respect to the disclosure and/or use of any confidential information that it can establish:

  1. Is or hereafter becomes part of the public domain through no fault of VN Tech or any of its representatives;

  2. Was known by VN Tech before receiving such information as evidenced by the written records of the company;

  3. Has become known by or available to VN Tech on a non-confidential basis from a source other than the disclosing company or its representatives, without any breach of any obligation of confidentiality owed to the disclosing company or any other person or entity; or

  4. Is independently developed by VN Tech without the use of the confidential information.

3. Protection of Data

VN Tech has implemented appropriate technical and organizational measures to protect its client’s data against destruction, loss, alteration, disclosure, unauthorized access or any other form of accidental or unlawful treatment.

However, it cannot guarantee complete protection against unwanted security risks.

The usage of VN Tech’s negotiation and business analytics platform requires the client to operate an account. The client is entirely responsible for maintaining the confidentiality of his/her password, access link and account. Furthermore, it is entirely responsible for any and all activities that occur under his/her account. 

The client agrees to notify VN Tech immediately of any unauthorized use of his/her account or any other breach of security. 

VN Tech will not be liable for any loss that the client may incur as a result of someone else using his/her password, access link or account, either with or without his/her knowledge. 

However, the client can be held liable for losses incurred by VN Tech or another party due to someone else using his/her password, access link or account. 

The client may not use anyone else's account at any time, without the permission of the account holder.

4. Third Party Websites, Services or Applications

VN Tech’s website may contain hyperlinks to third party websites, services or applications, which are not covered by these Terms and Conditions.

VN Tech cannot be held responsible, under any circumstances, neither for the content, accuracy, truthfulness or lawfulness of these websites, services and applications nor for the misuse of data collected or processed through them.

VN Tech alerts its clients and the general public to this fact and to carefully read the rules regarding the processing of data defined by such third parties before using their websites, services,and applications.

5. Storage Limitation

The data collected by VN Tech is only kept for the period necessary for the purposes for which it is processed. Confidential information may be kept for longer periods, under certain legal conditions.

Once the maximum storage period has been reached, confidential data will be anonymized or destroyed in a secure manner, whenever it should not be kept for different purposes that may still subsist.

6. Communication and Sharing of Data

  1. VN Tech may transmit data collected by its clients to certain processors, so that they can process it on behalf of the company.

    Examples of processors: cloud computing service providers.

    In these cases, the company shall implement appropriate contractual measures to ensure that processors respect and protect data, keeping information confidential.

  2. Confidential information may also be transmitted to third parties - entities other than VN Tech and its processors.

    Examples of third parties:

    1. Entities to whom the data must be communicated, at the request or with the consent of the client;

    2. Entities to whom the data must be communicated under a legal obligation, such as the Tax Authority, courts or security forces (e.g., within the context of judicial proceedings or investigations of suspicious activities).

  3. Data collection helps VN Tech get a much better understanding of the way negotiation works in different industries / practices. The more data VN Tech collects, the better it can cross check critical negotiation elements, set up variables, options and potential ranges, define the utility curves of negotiation parties, explore ideal candidates and maximize its clients’ outcomes. VN Tech may sell or transfer commercial data to third parties as long as it is rendered anonymous or aggregated in such a manner that the client and its activities / operations are not or no longer identifiable, including for statistical or research purposes. 

7. Transfer of Data to Third Countries

VN Tech is headquartered in Portugal.

The data processed by the company can be accessed by its processors, located inside or outside the EU, for the purposes described above.

VN Tech ensures that the exported data will be treated in accordance with appropriate security measures, without compromising the level of protection guaranteed by the European legislation.

8. Usage Limitation

VN Tech provides its current and prospective clients with access to a variety of resources, including its platform, developer tools, download areas, communication forums and product information.

These resources contain proprietary information belonging to VN Tech and its licensors, which are further protected by copyrights, trademarks, service marks, patents and other proprietary rights and laws. 

All images, text, sound, photos, custom graphics, button icons, the collection, compilation and assembly, and the overall “look and feel” and distinctiveness of these resources constitute trade dress and the property of VN Tech. The absence of a notice relating to a VN Tech product or service name, slogan, or logo does not constitute a waiver of VN Tech’s trademark or other intellectual property rights relating to such name or logo. 

Clients may neither modify, copy, distribute, transmit, display, perform, reproduce, publish, license, adapt, edit, create derivative works from, transfer, sell or rent any information, software, products or services obtained from the services provided by VN Tech (including any updates, enhancements, new features, and/or the addition of any new web properties), nor attempt to copy, further develop, decompile, reverse engineer disassemble, or derive the source code of those services, or any updates or part thereof.

Any derivative works, improvements, inventions or works based upon or relating to the services provided by VN Tech involving a breach of these Terms and Conditions shall be owned by VN Tech. The client hereby assigns and agrees to assign to VN Tech such derivative works, improvements, inventions or works developed by his / her company.

9. Client’s Obligations

VN Tech’s current and prospective clients undertake to ensure that:

  1. Its personnel is, at any time, instructed and trained in the proper use and operation of VN Tech’s resources (information, software, products or services) and that these are used according to the documentation and instructions provided by VN Tech;

  2. They keep backup copies of their data, so that is possible to restore critical data in the event of loss or destruction, for whatever reason;

  3. They do not to copy or modify, partially or totally, VN Tech’s software or related materials, and they take all precautions to prevent third parties from making copies or changes;

  4. They protect VN Tech’s software and all related material from unauthorized use or knowledge / disclosure of any part of its content by / to third parties;

  5. They inform their employees, agents or consultants of the obligations to which they are bound under these Terms and Conditions and keep them briefed so that such obligations are fully and rigorously fulfilled;

  6. They promptly inform VN Tech of the occurrence, or suspicion, of any unauthorized use or disclosure of the company’s software or any other confidential information and to provide due assistance to VN Tech in investigating the situation and seeking legal redress.

10. Liability

The client assumes full responsibility:

  1. For the adequacy of the operating environment in which VN Tech’s software will work;

  2. For the use of VN Tech’s software, including with regard to operating procedures, auditing controls, data correction and security, restart and recovery routines;

  3. For any other procedures necessary for the use of the software intended by the client.

VN Tech’s obligations are limited to providing means for negotiation processes and business analytics, with the aim of increasing the total value of an agreement to the client.

VN Tech may not be held liable for the results, consequences or impact derived from the usage of its software. 

The services provided by VN Tech do not ensure the uninterrupted operation of the software or any of its applications.

In no event shall VN Tech and/or its respective representatives / suppliers / processors be liable for any indirect, consequential, incidental, special or punitive damages or any damages whatsoever resulting from loss of use, interruption of business, loss of data or loss of profits, whether in an action of contract, negligence or other wrongful action, arising out of or in connection with the use or performance of software, documents, provision of or failure to provide services or information available from the services.

11. Applicable Law, Jurisdiction and Venue

The validity and interpretation of these Terms and Conditions will be construed in accordance with the laws of Portugal. 

Any claim or dispute arising out of or in connection with them will be resolved exclusively in the courts located in Porto, Portugal and in no other court or venue. 

The client consents to such jurisdiction and venue, and expressly waives any claim of improper venue and any claim that such courts are an inconvenient forum.

12. Changes to the Terms and Conditions

VN Tech reserves the right to update these Terms and Conditions at any time, without notice, namely in light of new legal requirements or instructions from any supervisory authorities.

The updated Terms and Conditions are available on the company's website. 

The continued use of the website, platform, resources and services offered by VN Tech will be understood as an expression of agreement with them.

The version of the Terms and Conditions currently in force was published on the 10th of November, 2020.

“VN Technologies, Lda” (hereinafter, “VN Tech”) collects personal data from natural persons, processing and protecting it in accordance with the Law and with good data protection practices. This Privacy Policy explains how the company treats the personal data it collects, hoping to bring an increased confidence from its customers and the general public in its activity.

Meaning of “personal data”

  1. Personal data is information relating to an identified or identifiable natural person (the “data subject”).

  2. An identifiable natural person is one who, although not identified, can still be identified, directly or indirectly, in particular by reference to certain personal data.

Controller

“VN TECHNOLOGIES, LDA” is responsible for the processing of personal data listed in this Privacy Policy, since it decides what personal data is collected, the purposes for which it is collected and the means of the processing of that data.

Personal data holders

The holders of the personal data collected and processed by VN Tech are natural persons, not only clients but also individuals belonging to the general public.

Means of collecting personal data

  1. VN Tech may collect personal data made public by its holders, namely contacts regarding operational or financial representatives of institutions that may benefit from the services offered by the company.

  2. VN Tech also processes data that is voluntarily provided to the company, namely in person, by phone, email, post or by sending private messages through the company's website and platform.

    1. This personal data may be collected when a natural person contacts VN Tech to ask questions regarding its products and services.

    2. Personal data may also be provided by the holder when requesting a demo.

    3. It can also be made known to VN Tech through the spontaneous submission of CVs by the holders of personal data to the company or by their replies to job advertisements placed by the company.

  3. The holder of the personal data guarantees that the data that he/she communicates to VN Tech is accurate and up-to-date, committing himself/herself to notify the company of any change to it.

Purposes and grounds for the use of personal data

VN Tech only processes personal data that is adequate, relevant and limited to what is necessary in relation to the purposes for which the data is processed.

This data is processed based on the following grounds:

  • Consent of the data subject;

  • Need for data for the performance of a contract or to take pre-contractual steps at the request of the data subject;

  • Need for data to comply with legal obligations to which VN Tech is subject;

  • Need for data for the purposes of the legitimate interests pursued by the company, except where the interests or fundamental rights and freedoms of the data subject prevail.

Sending of requested communications (e.g. relating to a free trial of a product or a service)

  • Name;

  • E-mail address;

  • Industry / Practice.

Consent

The sending of requested communications (relating, for example, to demonstrations / brochures / presentations of the product or service) depends on the consent of the data subject.

This consent can be expressed by filling in the contact space on VN Tech’s website.

Modification or withdrawal of consent

Consent can be modified or withdrawn at any time by the holder of personal data, with effect for the future.

To remove his/her consent statements, the individual may send an email to info@valuenegotiation.tech, indicating his/her new preferences regarding consent. The last manifestation of will shall prevail over the previous ones.

After withdrawing consent, the holder of personal data stops being contacted and receiving communications from VN Tech.

Marketing Communications

The holder of personal data may object to receiving unsolicited Marketing communications by following the cancellation instructions included at the bottom of each email or by sending a request to info@valuenegotiation.tech.

Cookies

VN Tech’s website uses "cookies", small information files that are stored on the user's computer or other navigation equipment each time the user accesses the website.

"Cookies" help the website memorize important information about the user's visit (e.g. his/her preferred language), allowing for faster and more efficient navigation. They can also be used for other purposes, such as counting the number of visitors to each page.

For the web pages that require a login and password, cookies have to be enabled in the user’s browser. The website user is given the option to disable "cookies". This can, however, prevent some online services from working properly, affecting navigation on the website.

Rights of the holder of personal data

VN Tech defends the rights of the holders regarding the protection of their personal data, in accordance with the General Data Protection Regulation (EU Regulation 2016/679 of the European Parliament and of the Council, of 27.04.2016).

These are, namely:

  • The right to be informed about the data processing performed;

  • The right of access to personal data;

  • The right to rectify the data;

  • The right to change or withdraw consent;

  • The right to erase data (“right to be forgotten”);

  • The right to restrict the processing, so that data, with the exception of storage, shall only be processed with the consent of the holder;

  • The right to object to the processing of data, namely for the purpose of direct marketing;

  • The right to data portability, that is, to receive the personal data concerning him/her and to easily transmit it to another controller;

  • The right to file a complaint with the national supervisory authority.

There are exceptions and reservations regarding the exercise of these rights.

How to exercise rights as a data subject

The exercise of the rights of the holder of personal data is free, unless it is a manifestly unfounded or excessive request, in which case a reasonable fee may be charged, taking into account the costs incurred. If the holder of the personal data exercises any of his/her rights, VN Tech analyses the request and answers in about a month.

The information is provided in writing, and may also be provided orally, if the holder requests it. VN Tech verifies the identity of the data subject before answering to his/her requests.

Right to lodge a complaint with the supervisory authority

The holder of personal data has the right to file complaints with the supervisory authority, when dissatisfied with the way in which his/her personal data is processed.

In Portugal, this entity is the National Data Protection Commission (Comissão Nacional de Proteção de Dados - CNPD).

Useful advice for the protection of personal data by the holder

VN Tech’s advices:

  • Do not include personal, confidential and / or sensitive data in the communications sent to the company (e.g. credit card numbers);

  • Do not expose personal data on the Internet;

  • Avoid browsing unsafe websites;

  • Control the sending of personal data by minors, if you are their parents or legal guardians.

VN Tech is not responsible for personal data or any other unrequested information sent to the company by email, in forums, comment sections or any other accessible public area that it administrates or manages, and shall delete it, as a rule, to the extent that it is not adequate, appropriate and limited to the purposes of processing pursued.

The holder of personal data is expressly warned that when revealing personal data in VN Tech’s public communication channels, such as on its Twitter, YouTube, Medium and LinkedIn pages, that information may be seen and used by third parties.

Changes to the Privacy Policy

VN Tech reserves the right to update its Privacy Policy at any time, without notice, namely for security reasons and in light of new legal requirements or instructions from the data protection supervisory authority.

The updated Privacy Policy is available on the company's website.

The continued use of the website, platform, resources and services offered by VN Tech will be understood as an expression of agreement with this Policy.
